1.Definitions

"Seller", "we" and "us" mean the legal entity that operates this website and sells through it, identified in the seller and operator notice at the foot of this page.

"Buyer", "you" and "your" mean the person or organisation placing an order, and any organisation on whose behalf that person is acting.

"Products" mean the research peptides, laboratory consumables and related items offered for sale on this website.

"Research use only" means a product is supplied solely for laboratory and in-vitro research and analytical work by qualified professionals. It is not supplied for human or animal use, for clinical or veterinary purposes, or for diagnostic or therapeutic use of any kind.

"These terms" mean this document, together with the research use disclaimer, the shipping policy and the returns and refunds policy, each of which forms part of the agreement between us.

2.Research use only disclaimer and intended use

Every product on this site is sold as a laboratory reagent for research use only. No product is a drug, a dietary supplement, a cosmetic, a medical device or a food, and none is offered or sold as one.

No product on this site has been approved by the Food and Drug Administration for any use. Nothing on this site is intended to diagnose, treat, cure or prevent any condition, in any person or animal.

Products must not be administered to humans or animals, used in or on the body, taken internally, injected, inhaled, or used in any clinical, veterinary, cosmetic or diagnostic setting. They must not be compounded, repackaged or resold as any of the above.

Buying a product is a representation that it will be used only for the purpose described in this section. Where we have reason to believe otherwise, we will refuse or cancel the order.

3.Qualified purchaser agreement

Anyone may browse this site. To place an order you must register, confirm you are 21 years of age or older, acknowledge the research-use condition and state a business type.

By ordering you represent that you are purchasing in a professional, academic, industrial or institutional capacity, and that you have the knowledge, training, facilities and equipment to receive, store, handle and dispose of research materials safely.

You further represent that you are not purchasing for personal use, for recreational use, for use by any other individual, or to resell to consumers.

A business type is recorded exactly as you declare it. We do not represent it as independently verified, and declaring one does not transfer any responsibility for it to us.

4.Buyer assumes full responsibility

Once an order is delivered, responsibility for the products passes to you. That includes their handling, storage, labelling, use, transport within your own premises, and disposal.

You are responsible for assessing the hazards of what you have bought, for applying appropriate safety practices, and for keeping products secure and out of reach of anyone not qualified to handle them.

You are responsible for disposing of products and their packaging lawfully, in accordance with the waste rules that apply to you.

You agree to indemnify and hold harmless the seller, its officers and its employees against any claim, loss, liability or expense arising from your use, misuse, storage, handling, onward transfer or disposal of any product bought from us, or from any breach of these terms.

5.No instruction or usage guidance provided

We supply materials and the documentation we hold for them. We do not supply protocols, methods, preparation instructions, dosing information or any guidance on use, and we will not provide it on request.

We cannot answer questions about use in humans or animals, and we will not respond to requests for that guidance. This is a limit on what we do, not an oversight.

Any specification we publish describes the material as supplied. Deciding whether a material is suitable for your work, and validating it for that work, is yours to do.

Information published by third parties about any compound we sell is not ours, is not endorsed by us, and should not be treated as instruction from us.

6.Compliance with laws

You are responsible for complying with every law that applies to your purchase, possession, use and disposal of the products, including federal, state and local law.

Some compounds are controlled, restricted or prohibited in some places and not in others. Determining what applies where you are, and to the address an order is delivered to, is your responsibility before you order.

You must not export, re-export or otherwise transfer any product in breach of applicable export control or sanctions law.

Where a purchase would breach any law that applies to you, you must not make it. We sell on the understanding that you have satisfied yourself that it is lawful for you to buy.

7.Monitoring and enforcement

We may refuse, limit, hold or cancel any order, at our discretion and at any time, including after payment has been taken. Where we cancel an order that has been paid for and not dispatched, we refund it.

We may review orders and account information where something suggests these terms are not being met — for example an order that does not fit the declared business type, or a delivery address that does not fit either.

We may hold an order while we ask you about it. We will tell you when we do, and an order held this way is either released or refunded.

We will cooperate with a lawful request from a regulator or law enforcement agency. Where we have confirmed that a product has been misused in a way that endangers someone, we may report it.

Closing an account or refusing an order under this section is not an accusation and is not a penalty. It is us declining to sell, which we are entitled to do.

8.Limitation of liability

To the fullest extent permitted by law, the seller is not liable for any indirect, incidental, special, consequential or punitive loss arising from the purchase, use, misuse, handling, storage or disposal of any product bought from us.

To the fullest extent permitted by law, our total liability in connection with any order is limited to the amount you paid for that order.

We are not liable for loss arising from a failure to comply with these terms, with the research-use condition, or with any law that applies to you.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions, and where that is so, this section applies only as far as the law allows.

9.Sales policy, restrictions and chargebacks

All orders are subject to acceptance and to availability. Prices, specifications and availability may change before an order is accepted, and an order is accepted when it is dispatched.

We may limit quantities, decline to sell a particular product to a particular buyer, or stop selling a product entirely, without notice.

Delivery, dispatch timing and shipping protection are governed by our shipping policy. Cancellations, returns and refunds are governed by our returns and refunds policy. Where either of those documents states a time limit, that limit applies — this document does not restate them.

If something is wrong with an order, contact us first. Nearly everything is resolved faster that way than through a payment dispute, and we would rather fix it than argue about it.

Raising a chargeback without first giving us the chance to resolve the problem is a breach of these terms. Where we receive one, we will respond to the payment provider with the order record, the delivery record and the correspondence, and we may suspend the account while it is open.

Where a chargeback is found in our favour, we may decline to sell to that buyer again.

10.Marketing communications

We send transactional messages about orders you place — confirmations, dispatch notifications and anything we need to tell you about a specific order. These are part of the service and are not marketing.

We also operate an optional newsletter. It carries catalogue additions, restocks, and certificates of analysis as we publish them. It does not carry claims about what any material does, and it never will: the same research-use rules that govern this site govern anything we send.

You join the newsletter only by asking to. Every message includes a way to unsubscribe, and unsubscribing has no effect on your account or on any order.

We do not sell or rent your address, and we do not send marketing on behalf of anyone else.

11.Regulatory status

The products on this site are not approved or cleared by the Food and Drug Administration for any use, and are not registered as drugs.

They are not dietary supplements, and are not offered under any supplement framework.

They are not medical devices and are not in-vitro diagnostic products. Nothing here is supplied for use in a diagnostic procedure.

Products are labelled and sold for laboratory research use only. Where a specification has not been checked against the certificate of analysis for the lot in question, the listing says so and no purity figure is advertised for it.

12.Intellectual property

The content of this website — its text, product descriptions, photography, artwork, logos and layout — belongs to us or is used with permission.

You may not copy, republish, scrape or redistribute it for commercial purposes without our written consent. Ordinary personal and internal reference use is fine.

The Pepper Compounds name and mark may not be used to describe, endorse or imply any association with another business, product or listing.

13.Privacy and data collection

What we collect, why, and how long we keep it is set out in our privacy policy. It forms part of these terms.

We collect what an order needs: the account details you register, the address an order ships to, and the record of the order itself. Payment card details are handled by the payment provider and are not stored by us.

We do not sell personal information. We disclose it only to the providers who deliver the service — payment, delivery, email — and where a law or a lawful request requires us to.

Newsletter subscribers are held by our email provider for that purpose alone, and unsubscribing removes the address from that list.

14.Governing law and jurisdiction

These terms, and any dispute arising out of them or out of any order placed through this site, are governed by the laws of the State of Colorado, United States, without regard to its conflict of laws rules.

The state and federal courts located in Colorado have exclusive jurisdiction over any such dispute, and both sides submit to it.

This site is directed to buyers in the United States, and we deliver only to United States addresses.

15.Miscellaneous

Severability. If any part of these terms is found unenforceable, that part is severed and the rest continues to apply.

Force majeure. We are not liable for a delay or failure caused by something outside our reasonable control, including carrier failure, severe weather, utility or network outage, or an act of a public authority.

Amendments. We may update these terms. The version in force for an order is the version published when that order was placed, and material changes will be noted on this page.

No waiver. If we do not enforce a term on one occasion, that is not a waiver of it.

Entire agreement. These terms, with the documents named in section 1, are the whole agreement between us about the sale of products through this site.

Acceptance. Placing an order confirms that you have read these terms, that you meet the qualified purchaser conditions in section 3, and that you accept the responsibilities in section 4.
